Software Nebula Legal Notes

1. Overview

Software Nebula (“we”, “us”, “our”) provides website design, website development, and related digital services. These Terms govern all services, proposals, quotes, contracts, communications, and deliverables. Use of our website or hiring our team assumes acceptance of these Terms. If you do not agree, do not proceed with engagement.

2. Services Provided

Software Nebula offers (but is not limited to):

  • Website design
  • Website development
  • UI/UX design
  • Frontend engineering
  • CMS implementation

3. Quotes & Pricing

All pricing is based on project complexity and scope. Quotes remain valid for 30 days. Work outside the defined scope is billed separately. Third-party subscriptions (hosting, domains, plugins, API fees) are not included. Requirement changes after kickoff may affect price and timeline.

4. Payments

Standard payment structure (unless noted otherwise):

  • 50% upfront deposit (non-refundable)
  • 50% upon completion before handover or launch
  • Milestones may apply for larger engagements

Invoices are due within 7 days. Late payments (>10 days) may incur a 5% fee and work may pause until balances are cleared.

5. Timeline & Delays

Timelines are estimates. Delays can occur when clients hold back assets, request new features, or when third-party services lag. Software Nebula is not liable for delays outside of our control.

6. Client Responsibilities

Clients must supply:

  • Written content
  • Images, logos, and brand assets
  • Hosting/CMS access when required
  • Timely approvals on designs, pages, and features

Ensure all materials are free of copyright issues.

7. Revisions

Standard revision limits:

  • Tier 1-2 projects include up to 12 rounds
  • Tier 3-4 projects include up to 23 rounds

Extra rounds can be added for an additional fee.

8. Intellectual Property

Clients own the final website content, final exported design files, and delivered code once the project is paid in full. Software Nebula retains ownership of internal design systems, templates, custom libraries, reusable components, unused concepts, and any tooling that is not explicitly transferred. These assets cannot be resold or reused by clients without separate permission.

9. Third-Party Services & Optimization

Website optimization, maintenance, and hosting (if purchased) are governed by the selected support plan. A detailed scope of work (SOW) is agreed upon before any project begins.

Software Nebula is not responsible for hosting uptime, domain issues, CMS outages, plugin conflicts, API outages, or other third-party software bugs. Clients pay third-party costs (domains, hosting, plugins, email, subscriptions) directly unless otherwise agreed in writing.

10. Website Launch & Handover

Following final payment we deploy the site, deliver all final files and source code, and hand control to the client. Responsibility for the website shifts to the client at that point unless they remain subscribed to a maintenance plan.

11. Maintenance & Support

Maintenance is not included by default unless subscribed to a monthly Orbit plan (Basic/Plus/Pro), which bundle hosting, monitoring, updates, content changes, and analytics reporting. Support outside these plans is quoted separately.

Support does not cover:

  • New features, pages, or redesigns.
  • Issues caused by third-party updates or platform changes.
  • Client-side mistakes that require remediation.
  • Plugin conflicts, API outages, or unrelated third-party bugs.

These items may be billed at our hourly or project rate when requested.

12. Refund Policy

Because web design and development involve significant time and resources, the initial deposit is non-refundable. After work begins, delivered work is non-refundable unless granted at our discretion.

13. Termination

Either party may terminate in writing. If the client terminates, all work completed to date is payable and the deposit is forfeited. If Software Nebula terminates, we deliver work completed upon receipt of the remaining balance.

14. Confidentiality

Both parties agree to keep business strategies, credentials, private data, and internal communications confidential. We may showcase non-private work in our portfolio unless the client requests otherwise in writing.

15. Limitation of Liability

Software Nebula is not liable for loss of revenue, data loss, security breaches caused by third-party services, hosting downtime, or misuse of the website. Liability is capped at the total amount paid for the project.

16. Governing Law

These Terms are governed by the laws of Haiti (or another jurisdiction upon written request). Disputes shall be resolved through negotiation or mediation before any legal action.

17. Changes to Terms

Software Nebula may update these Terms anytime. The latest version will always be available on this page.
